The process of establishing a new forex brokerage firm involves a series of critical decisions and risk assessments. Every decision you make will affect the amount of startup capital required and the type of clients you will attract. One important consideration for every brokerage firm is where to register the company. If you’re unsure how to set up a forex brokerage firm, please refer to: “2022: The Latest Process, Costs, and Considerations for Setting Up an MT4 White-Label Brokerage”

We recommend that you establish your company’s registered office and physical office in different locations, as choosing an office location involves many considerations, such as rent costs, employee salaries and qualifications, and corporate income tax.
In this article, we will focus on how the laws and policies of different jurisdictions affect your brokerage business. When selecting a jurisdiction for your brokerage business, you should consider factors such as the complexity of obtaining a license, the estimated time required, the tax laws and double taxation rules of your country of residence, and, of course, the licensing and operational fees as well as annual fees in that country.
Although foreign exchange regulations vary from country to country, we can categorize popular forex brokerage jurisdictions into two main types: reputable onshore regulation and offshore regulation. The first category typically consists of mature economies with high GDP and a favorable business environment, such as the United Kingdom, the United States, and Australia.

Onshore Regulatory Licenses
Misha Kogan, EMEA Sales Manager at Leverate, a leading brokerage solutions provider, stated: “‘The advantages of obtaining a license in a highly recognized and authoritative jurisdiction are multifaceted. For instance, you can gain greater trust from traders and attract a higher-quality user base. Furthermore, because your registered location carries lower risk, it is both easy and cost-effective to find payment service providers and open business accounts.’”However, the minimum net capital required to obtain a brokerage license in these countries and regions is relatively high, which is unattainable for most new brokerage firms; for example, the cost of an FCA license in the UK or a license in Japan may be 10 times higher than that of comparable offshore destinations. That said, there are also some equally recognized, mid-range registration options, such as the following two.
- Cyprus Regulatory Authority: CySEC
In recent years, Cyprus has become the preferred jurisdiction for forex businesses because it is a member of the European Union, which allows brokerage firms registered in Cyprus to offer services to all EU member states. Combined with its low corporate tax rates, thriving financial sector, and abundant, highly skilled workforce, these factors are more than sufficient to help you establish a foothold in the forex market. The cost of a Cypriot license ranges from 40,000 to 100,000 euros, and the entire process takes approximately six months to complete.
- Malta Regulatory Authority: MFSA
An emerging competitor to Cyprus within the European Union is Malta, located in the sun-drenched Mediterranean region. Thanks to its reliable regulatory framework, Malta has developed a mature business environment for the foreign exchange industry. The Malta Financial Services Authority (MFSA) offers two types of licenses for forex brokers: a Category 2 license, which applies to digital wallets and investment funds for crypto-financial assets, and a Category 3 license, which applies to OTC traders or market makers. The initial capital requirements for both categories are the same—730,000 euros—but the application and licensing fees for Category 2 are lower, ranging from 1,500 to 3,000 euros.
A More Cost-Effective Option—Offshore Regulation
Brokers with limited capital or those seeking a different regulatory environment may choose to incorporate in an offshore jurisdiction with lower initial capital requirements. Mr. Kogan stated: “Establishing your brokerage business in an offshore jurisdiction can reduce registration costs and offer a more lenient regulatory environment, but it also requires you to find a reputable bank or PSP willing to work with you.Under a less authoritative regulatory body, you may lose certain types of clients as well as potential business partnerships.” If you wish to register your company offshore, you may want to consider the following two popular jurisdictions for forex brokers.
Seychelles Regulatory Authority: FSA
For many, this island nation in the Indian Ocean epitomizes a dreamy, romantic getaway. In recent years, however, it has also attracted many business-savvy professionals. With a corporate income tax rate of just 1.5%, Seychelles has emerged as a low-cost solution for forex startups.New brokerage firms can obtain a forex license in as little as 4–12 weeks, with an extremely low application fee of just $200 and an annual license fee of $1,000. Seychelles requires registered companies to have a permanent office and staff on-site; otherwise, they cannot enter into agreements with local banks and payment service providers.
Mauritius Regulatory Authority: FSC
Mauritius is another exotic tourist destination in the Indian Ocean that offers brokers an extremely attractive tax regime, with a corporate income tax rate of 3%. Here, the minimum net capital requirement is less than $20,000, and the licensing process takes approximately 4–5 months. The application process is straightforward; you simply need to submit the required documents to the FSC.Fees vary depending on your business model. For example, forex investment dealers (brokers) pay a $500 application fee and a $1,750 annual fee.
Changing Forex Brokerage Jurisdictions
A common question asked by many startup brokers is whether they can change their forex brokerage jurisdiction later in the business cycle. “Changing your business jurisdiction is absolutely possible, and it’s a great option for brokers who are taking a wait-and-see approach,” said Mr. Kogan. ““You may initially decide to launch your forex business in a region with lower overall costs, including registration fees, regulatory fees, net capital requirements, and staffing costs. Once your brokerage has established a stable and active client base and begins turning a profit, you can switch to a more prestigious jurisdiction to attract higher-margin clients.”
